4.1 Account Creation

6.1 Our Rights

All rights, title, and interest in and to the Services, including all intellectual property rights, are and will remain the exclusive property of NovaTots and its licensors. These Terms do not grant you any rights to our trademarks, service marks, or logos.

6.2 Your Content

You retain all rights to any content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content in connection with operating and providing the Services.

7.1 Pricing

Certain aspects of our Services may be provided for a fee. You agree to pay all applicable fees as described on our website at the time of purchase. All fees are in Singapore Dollars (SGD) unless otherwise stated.

7.2 Payment Terms

Payment is due immediately upon purchase unless otherwise agreed. We may suspend or terminate your access to the Services if payment is not received when due. You are responsible for all taxes associated with your purchase.

7.3 Refunds

All sales are final unless otherwise stated in writing. Refund policies, if any, will be communicated at the time of purchase or as required by applicable law.

13.1 Term

These Terms commence when you first access or use the Services and continue until terminated in accordance with these Terms.

13.2 Termination by You

You may terminate your account at any time by contacting us. Termination will not relieve you of any obligations to pay fees incurred prior to termination.

13.3 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if we believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.

13.4 Effect of Termination

Upon termination, all licenses and rights granted to you will immediately terminate. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Singapore. You agree to submit to the personal jurisdiction of such courts.

14.3 Arbitration

The parties may agree to resolve disputes through binding arbitration under the rules of the Singapore International Arbitration Centre (SIAC), with the arbitration to be conducted in Singapore in the English language.

15.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

15.2 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and NovaTots regarding the Services.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be reformed to the extent necessary to make it valid and enforceable.

15.4 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of NovaTots.

15.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted transfer in violation of this provision is void.

15.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
